Definition of “Site”
For the purposes of this Agreement, “Site” means a single, contiguous geographic location under the Licensee’s control, identified by a single physical street address, at which the Software is installed, accessed, or used. A Site may include multiple buildings, floors, or facilities located on the same premises and connected by the Licensee’s internal network infrastructure, provided such buildings are part of the same contiguous property.
A Site expressly excludes:
- Any additional physical locations, premises, or facilities not located on the same contiguous property, even if operated by the Licensee;
- Remote offices, branch offices, or telecommuting/home office locations; and
- Any cloud-hosted, co-location, or third-party data center environments, unless expressly authorized in writing by the Licensor.
Under an “Unlimited Single Site License”, the Licensee is authorized to install, access, and use the Software by an unlimited number of Users and/or Devices within the boundaries of the Site.
Remote Access Rights
Remote Access Exception – Notwithstanding the foregoing, the Licensee may permit Users whose primary work location is the licensed Site to access and use the Software remotely, provided that:
- Access occurs only through secure, authenticated connections to the Licensee’s internal network infrastructure located at the licensed Site (e.g., VPN, remote desktop, or equivalent secure technology);
- The Software is not installed directly on Devices located outside the Site, except as strictly necessary to enable the secure remote connection described above; and
- Remote access does not constitute the operation of the Software from or within any additional physical locations, branch offices, or data centers not part of the licensed Site, unless separately licensed or expressly approved in writing by the Licensor.
All other terms of this Agreement remain in full force and effect.
